Acceptable Use Policy

For Pactly's contracting platform (fully-managed/cloud deployments)

This Acceptable Use Policy ("AUP") sets forth the terms and conditions governing your use of Pactly's cloud-based contract management platform and related services ("Services"). This AUP applies to all users, including trial users, subscribers, and authorized third parties accessing the Services . By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by this AUP and all applicable terms of service .

1. Lawful and Ethical Use

Users must:
  • Respect intellectual property rights and privacy laws
  • Not engage in any fraudulent, defamatory, harassing, threatening, or illegal activities
  • Use the Services only for legitimate business purposes

2. Data Protection and Rights

Users must:
  • Ensure they have all necessary rights, licenses, and permissions to upload, process, and share any data or content through the Services
  • Obtain proper consent from data subjects where required by applicable privacy laws
  • Not upload or process information within any data that violates third-party rights or applicable laws
  • Promptly report any suspected data breaches or security incidents to Pactly

3. Prohibited Activities

Users are strictly prohibited from:
  • Attempting to gain unauthorized access to any part of the Services, other users' accounts, or Pactly's systems
  • Interfering with, disrupting, or compromising the integrity , performance, or security of the Services
  • Harassing, abusing, threatening, or causing harm to other users, Pactly personnel, or third parties
  • Transmitting or uploading viruses, malware, or other malicious code
  • Conducting any form of network scanning, penetration testing, or vulnerability assessment without prior written authorization
  • Using the Services to distribute spam, unsolicited communications, or promotional materials
  • Impersonating any person or entity or misrepresenting your affiliation with any person or entity

4. Account and System Integrity

Users must not:
  • Share, transfer, or disclose account credentials to unauthorized parties
  • Allow unauthorized access to their account or permit account sharing beyond authorized users
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, algorithms, or trade secrets of the Services
  • Modify, adapt, alter, translate, or create derivative works based on the Services
  • Attempt to circumvent any security measures, access controls, or usage limitations
  • Use automated tools, bots, or scripts to access the Services without prior written consent
  • Sublicense, resell, or redistribute access to the Services without authorization

5. AI Feature Usage (if applicable)

For any AI or generative AI features provided by Pactly:
  • Users must not use these features to generate, create, or facilitate harmful, illegal, discriminatory, defamatory, or offensive content
  • Users must not attempt to manipulate AI features should to produce biased, misleading, or inappropriate outputs
  • All AI-generated content must be reviewed for accuracy, completeness, and appropriateness before use in any business context
  • Users acknowledge that AI-generated content may contain errors and should not be relied upon without human review. Users are solely responsible for any decisions made based on AI-generated content

6. Reporting Violations

Users must promptly report any suspected violations of this AUP, security incidents, or inappropriate use of the Services to info@pactly.ai com. For urgent matters: Contact your designated account manager or customer success representative.

7. Consequences of Violation

Upon violation of this AUP, Pactly reserves the right to, at its sole discretion:
  • Investigate potential violations and request additional information from users
  • Issue warnings or require corrective action within specified timeframes
  • Temporarily suspend access to all or part of the Services
  • Permanently terminate user accounts and access to the Services
  • Remove or disable access to violating content or data
  • Pursue legal remedies, including monetary damages and injunctive relief

8. Changes to this Policy

Pactly may update this AUP from time to time to reflect changes in our Services, legal requirements, or industry best practices. Material changes will be notified communicated via email to the administrative contact associated with your account. Continued use of the Services after 30 days from the date of notification constitutes acceptance of the updated AUP.

By using Pactly's Services, you acknowledge that you have read, understood, and agree to comply with this Acceptable Use Policy.
